Terms & Conditions

Company: Vivira Digital Marketing ("Vivira," "we," "our," or "us")
Client: The individual or business purchasing services from Vivira ("Client," "you," or "your")
1. Scope of Services
Vivira provides digital marketing services including but not limited to:
- Google Ads campaign management
- Local SEO and Google Business Profile optimization
- Website design and development
- AI and automation setup (chatbots, voice agents, workflows)
- Lead generation consulting
Exact deliverables and timelines will be outlined in a separate service agreement or proposal.
2. Payment Terms
- Services are billed monthly based on the agreed package (Basic, Growth, Legacy, or custom).
- Invoices are due upon receipt and must be paid within 7 days.
- Late payments may result in paused services or additional fees.
- All fees are non-refundable once services have been rendered or campaigns launched.
3. Contract Duration & Termination
- Standard service term is 6 months unless otherwise agreed.
- Either party may terminate the agreement with 30 days' written notice.
- If Client chooses to terminate early, any outstanding balances remain due.
- Vivira reserves the right to pause or terminate services if the Client fails to provide necessary information, assets, or payment.
4. Client Responsibilities
You agree to:
- Provide accurate and timely information, content, and access needed for service delivery
- Approve campaigns, designs, or recommendations in a timely manner
- Refrain from making conflicting changes or hiring third parties that interfere with Vivira's work
5. Performance Disclaimer
While Vivira makes every effort to achieve strong marketing performance, we cannot guarantee specific results (e.g., rankings, leads, sales). Digital marketing is influenced by variables outside our control such as search engine algorithm changes, ad platform fluctuations, and market conditions.
6. Ownership & Access
- Websites and creative assets designed by Vivira are fully transferable to the Client upon completion and full payment.
- Ad accounts, CRM setups, and AI tools may be retained by Vivira unless otherwise arranged. Shared access may be provided during the service term.
7. Confidentiality
We will not disclose your confidential information (business data, account details, etc.) to any third party without written consent, unless legally required.
8. Limitation of Liability
Vivira will not be held liable for indirect, incidental, or consequential damages resulting from service use or disruption. Total liability will not exceed the amount paid by Client in the 30 days prior to the claim.
9. Governing Law
This agreement will be governed by and interpreted in accordance with the laws of the State of [Your State], without regard to conflict of law principles.
10. Amendments
Vivira may update these Terms & Conditions from time to time. Clients will be notified of material changes in writing or via email.
11. Acceptance
By purchasing or continuing to use Vivira’s services, you agree to these Terms & Conditions.
